Conditional format cells based on location

I have a series of cells (d3 through ba3) that contain IF formulas. Only two of the cells should actually hit on criteria and display values. One will be "IN" and one will be "OUT". I am wanting to create a conditional format that will cause those cells with "in" or "out" to highlight in yellow, as well as all of those empty cells between the two. Is this possible?
 

Excel Facts

Wildcard in VLOOKUP
Use =VLOOKUP("Apple*" to find apple, Apple, or applesauce
Try highlighting D3:BA3, Conditional Formatting, New Rule, Use a Formula,

=OR(D3="OUT",AND(COUNTIF($D3:D3,"IN")=1,COUNTIF($D3:D3,"OUT")=0))

Format with yellow fill. This should work if IN comes before OUT.
