trying to count the number of cells that are highlighted a particular color. is COUNTIF the right formula? if so, how do i inidicate highlight as the criteria?

How are the cells colored?
Are they colored by Conditional Formatting? Or normal manual formatting?

No, countif (or any built in formula) can't do it.
It will require VBA

Check the Recommended addins thread, and look at the ASAP Utilities.
That addin has some functions that can count colors
