Sheet 1 is a d/l of info, has company#....sheet 2 has two columns, company# and company name...I want to be able to reference sheet 2 from sheet 1 in a new company name column, and have the company name automatically be put in based on the company#...how do I do this?

It sounds like you're shooting for a VLOOKUP - definitely a handy function. In sheet 1 in the column you want this will bring in the Company Name:

=VLOOKUP(A2,Sheet2!$A$2:$B$100,2,0)

where:
A2 = The Company# on sheet 1
Sheet2 A2:B100 = holds Company#'s in ColA and the Names in ColB
