How to Count Cells by their Color (Excel 2007)

I've tried a bunch of ways i found on the web and in this message board but for some wierd reason i get an error. Is there something more specific for the 2k7 version?

Excel Facts

Spell Check in Excel
Press F7 to start spell check in Excel. Be careful, by default, Excel does not check Capitalized Werds (whoops)
What exactly did you try and what was the error?

It just says that my formula contains an error.
I guess I might be doing something wrong.. I haven't used VB scripts in excel before.. :(
