Merge Different Rows in Different Files

I have 2 excel tables, File1 & File2. File1 has 450 rows and 14 Colums ; File2 has 500 rows with similar 14 Columns as File1. Some rows of File1 are repeated in File 2. Some rows of File1 are deleted in File2. File2 has new rows also. How to merge the two Tables so that new Table has all new rows of File2 & all those rows which are common both in File1 & File2, AND no rows of File1 which are not there in File2. I am a novice in Excel so I hope I am using precise terms. Please help me sort this. Thanks.
