Mac OSX to OS9.2 Compatibility Problem

When I create a excel workbook on a Mac in OSX and then try to open on another Mac using OS 9.2 - I get the error 'not enough memory' even though I have plenty of memory. If I open the workbook file on a PC, then resave, then it will open in 9.2. Is this an OSX problem or an Excel problem - and are there any fixes? Thanks
