How to grant permission to only specific people to open/view/edit file?

How do I grant only specific people to be able to open, view, edit an excel file? I don't want anybody else besides these two people to be able to even open the file, so I'm not talking about password protecting to prohibit editing a file. I would assume I need to go to the properties, security settings but I'm not sure?
 

Excel Facts

Quick Sum
Select a range of cells. The total appears in bottom right of Excel screen. Right-click total to add Max, Min, Count, Average.
goto the save dialog box and click on the tools tab, goto general options

password to open and password to modify

these are what you are after ?

This is what I am looking to do, but I don't know what you mean when you refer to the "Save Dialog Box"???

goto the menu bar, file, save as

the dialog box that pops up is the same dialog box
