Problems after protecting workbook

I have a excel 97 SR2B spreadsheet that when you protect the workbook and select only the strucure check box and password protect it and save the file you cannot reopen it. When you double click on the file the status bar says that it is opening it, but then it disappers and goes to a gray screen in excel as if you hadn't opened a spreadsheet yet. Any ideas?
