Counting Non-Duplicate Cells

I have a workbook with two sheets (sheet1 & sheet2). The columns titles on each sheet are all the same.

If populated, Column BK will either have a date or say 'Not required'. However it will not always be populated on sheet1 where as on sheet2 it will always be populated.

Column BL is similar (ie may not always be populated on sheet1 but will always be populated on sheet2) however it will contain either a short phrase or reference number.

I want to count the number of row across both sheets whith Col.BK = to a date AND Col.BL is populated HOWEVER I do not want to count duplicates within Col.BL

ie. If BL contains the following values:
A. 56655
B. 45412
C. 45412
D. 36441
E. 56655

I would want it to return a value of 3.


Even if someone can just help me with the last bit Im sure I can work out how to do the rest. I need to compare the values on both sheets though. if this is too much work comparing both sheets, totaling each sheet on its own would do.
