Partial String lookups - PLEASE ADVISE

I'm doing a vlookup between two huge databases to remove dupes.

I need a formula that will find Cable & Wirless within Cable & Wireless Seychelles, BUT at the same time, NOT make an (ege) match between Bath College in database a, and Leger Ltd database b.

Hope this makes sense.
