Just to clarify, you want the Last Monday in February for the year you specify or,

The last Monday of the Year you specify?

Your question asks for both.

Perhaps try this...
Excel 2010
A
101/12/2013
2Fri 22-Feb-13

<colgroup><col><col></colgroup><thead>
</thead><tbody>
</tbody>
Sheet1
Array Formulas
CellFormula
A2{=MAX((MONTH(DATE(YEAR(A1),2,{21,22,23,24,25,26,27,28,29}))=2)*(WEEKDAY(DATE(YEAR(A1),2,{21,22,23,24,25,26,27,28,29}), 2)=5)*DATE(YEAR(A1),2,{21,22,23,24,25,26,27,28,29}))}

<thead>
</thead><tbody>
</tbody>
Entered with Ctrl+Shift+Enter. If entered correctly, Excel will surround with curly braces {}.
Note: Do not try and enter the {} manually yourself

<tbody>
</tbody>

Hope that helps.

Apologies. I set for Fridays, not Mondays.
'Sides, VOG's formula is much simpler.

Thanks sir but the result is not correct
The last Monday of February for example 2014 is 25/2/2014
and the result of your formula is 28/2/2014
