Conditional Formatting Question

Hey--so I'm trying to color code the background of a cell. For my particular function I am creating a spreadsheet that analyzes who the risk holder is in a contract.

If my company was not risk holder in column a of my spreadsheet, but is now risk holder in column b as a result of a stipulation in the contract---I'd like for the background of column b to turn Red. Conversely, if my company is risk holder in column A, but we are no longer the risk holder in Column B---then I would like that cell in Column B to turn Green. Else--I'd like for there to be no change.

The two columns titles would be: "Risk holder under Current State" and "New risk holder under ensuing contract".
