COUNTIF Based On Two Conditions

I have a spreadsheet where I am wanting to count the number of occurrences where there is number data in Column H but no text data in Columns J and K. So, to recap, I need to count the number of occurrences where there is a phone number in Column H, but only when there are no email addresses in both Columns J and K in the same row. The relevant range in this spreadsheet is H3:K1740. I have tried several different formulas without success. Can someone please help me? Thanks!
 

Excel Facts

Links? Where??
If Excel says you have links but you can't find them, go to Formulas, Name Manager. Look for old links to dead workbooks & delete.
