If/Then conditional format

Hi,

I know this is conditional formatting I need to apply to my cell, but I don't know what the formula would be. I need to apply the format to cell U4 and have it say:

If S4="Y" and U4="N", then apply my format (red font) to the data in U4. But I also want to do nothing if S4 is blank, equals U4, etc. Thanks!
