Two Formulas needed

Hello:
Need some help to write a formula:

If cell AE3=100000 then zero, or if cell AG3 matches any numbers in column M then also zero, otherwise equals cell AI3

If the value in AI3 is a number, you could also do this:

=AI3*OR(AE3=100000,COUNTIF(M:M,A3))

Your title says you need two formulas. What's the other one?

I use this formula =IF(OR(AE3=100000,COUNTIF(M:M,AG3)),0,AI3)

i also want to add that if the date in cell V1 minus the the date in cell AC3 is equal to or less than 5 than give me the formula above, otherwise show zero.
