Copy formula down without changing references
If you have =SUM(F2:F49) in F50; type Alt+' in F51 to copy =SUM(F2:F49) to F51, leaving the formula in edit mode. Change SUM to COUNT.
From the Help Files:

  1. On the Data tab, in the Data Tools group, click What-If Analysis, and then click Goal Seek.
Does that help?

For Excel 2002 Analysis ToolPak needs to be installed and activated.
Tools|Add-Ins...|check Analysis ToolPak|OK

thanks but....
there is no tools under data and the analysis is installed already.
so my goal is still to seek the goal seek!

Sorry, I missed read your post.

My suggestion was for Excel 2007. But I see you have 2002.

So I will leave this up to Peter. I think he is more versed in 2002

Just confirming that it is not only installed, but also activated? That is, are you confirming that Analysis ToolPak has a check mark next to it in the Add-Ins window?

If so,

1. Try closing & re-opening Excel.

2. If still no joy you could try
Tools|Customize...|Toolbars tab|click on Worksheet Menu Bar to make it blue|Reset...
Note though, that if you have made other modifications to the menu bar, these modifications would be lost.
