Count if not equal to ??

Hi,

Is there a possible formula for this?

I have been going throug SUMIF's and SUMPRODUCTS but both seem to be for a positive criteria.

I am trying to get a formula that would basically be:

If Column C is not equal to "Complete" then Add columd D = AB + Column E =CD

Thanks
